Gibt es Unterschiede zu "traditionellen" Aktien?: Mit den am 01.02.21 in Kraft getretenen Änderungen im Schweizer Obligationenrecht wurde der Begriff der Registerwertrechte eingeführt. Artikel 973d definiert das Registerwertrecht als ein Recht, (1) welches in einem Wertrechteregister eingetragen ist und (2) nur über dieses geltend gemacht werden kann.

Ein auf DLT (Distributed Ledger Technology) basierendes Register wie bspw. eine Blockchain erfüllt die in Artikel 973d Ziffer 2 genannten Anforderungen an ein Wertrechteregister. Sofern die Statuten eines Unternehmens dies erlauben, können Wertpapiere wie bspw. Aktien als Registerwertrechte ausgegeben werden.

Werde ich als investierende Person im GMC Aktienregister registriert?: Um einen Eintrag im Aktienbuch (Aktienregister) der Green Monkey Club AG zu erhalten, musst du dich mit deinem Namen und deiner Adresse registrieren. Dies geschieht entweder einmalig in der Aktionariat-App (damit ist man auch bei anderen Unternehmen, bei denen Aktien über die Aktionariat App gekauft werden automatisch im Aktienregister). Wie sieht es mit Aktienregister und Datenschutz aus?: Das Aktienregister wird gemäß den Statuten zusammen mit dem Wertrechtebuch geführt. Die persönlichen Daten unterliegen dem Datenschutz gemäß aktueller Datenschutzverordnungen und werden 10 Jahre aufbewahrt.

Die Anzahl an Halter*innen der Token, die gehaltenen Token und ihre «Ether Adressen» sind öffentlich einsehbar, sofern sich der Aktionär bei Green Monkey Club AG registriert hat.
Welche Rechte hat der Aktionär?: Die Rechte entsprechen den gesetzlichen Vorgaben:
Den Aktionären stehen die gesetzlich vorgesehenen Aktionärsrechte zu. Jede Aktie hat eine Stimme bei der Generalversammlung (GV).

Die Befugnisse der einzelnen Gesellschaftsorgane der Green Monkey Club AG entsprechen den gesetzlichen Bestimmungen, dies gilt insbesondere auch für die GV.

Die Gewinne der Green Monkey Club AG werden entweder in die Wertsteigerung des Unternehmens investiert oder als Dividende an die Aktionäre ausgeschüttet. Die nachhaltige Wertsteigerung des Unternehmens steht dabei im Vordergrund.
